1. Acceptance of Terms
Welcome to Innergy Global Enterprises, LLC (“Innergy”). By purchasing or registering for any Innergy retreat, teacher training, workshop, class, certification program, digital product, or other service, you (the “Participant”) acknowledge and agree to be bound by the following Terms and Conditions.
These Terms may be updated at any time. The Participant agrees to be bound by any future amendments. The current version of these Terms is always available at chocolako.com/terms.
2. Participation Cancellation Policy
All requests to cancel a Program registration must be submitted in writing to Innergy through its official contact channels. A cancellation is considered effective only upon written acknowledgment by Innergy.
- Sixty (60) days or more before the Program start date: Tuition payments may be eligible for a partial refund at Innergy’s sole discretion, less all non-refundable deposits, administrative fees, payment processing fees, currency conversion fees, bank transfer fees, and any costs already incurred or irrevocably committed by Innergy to secure the Participant’s place in the Program, including but not limited to venue reservations, accommodations, materials, instructor costs, and third-party supplier commitments.
- Fifty-nine (59) days or fewer before the Program start date: All deposits, tuition payments, and Program fees are final and non-refundable.
At Innergy’s sole discretion, a Participant who cancels may be permitted to transfer their registration to a future equivalent Program within twelve (12) months of the original Program start date, subject to availability, current pricing, administrative fees, and any applicable price difference. Approval of any transfer request is not guaranteed.
Participants acknowledge that Program spaces are limited and that Innergy incurs significant costs in advance of each Program. Accordingly, no refunds, credits, or compensation shall be provided for cancellations, late arrivals, missed Program sessions, early departures, failure to obtain travel documentation, visa denials, illness, injury, family emergencies, travel disruptions, weather events, force majeure, or changes in personal circumstances.
By accepting these Terms, the Participant expressly acknowledges and agrees that, except as expressly provided in these Terms and Conditions, they are not entitled to any refund, reimbursement, credit, or compensation arising from their cancellation or inability to attend the Program.
3. Force Majeure
Innergy reserves the right to reschedule or cancel any event, retreat, or training program where circumstances beyond our reasonable control make it impossible, unsafe, or inadvisable to proceed. This includes, without limitation: acts of God, natural disasters, pandemics, government-imposed travel restrictions, civil unrest, war, acts of terrorism, or any other event outside Innergy’s control (each, a “Force Majeure Event”).
Where a Force Majeure Event applies, Innergy will provide written notice as soon as reasonably practicable. We will make reasonable efforts to reschedule the affected program within twelve (12) months of the original date. Monies paid will not be refunded under Force Majeure circumstances, and Innergy will not be held liable for any consequential losses, including travel, accommodation, or visa costs.
All Participants are strongly advised to purchase comprehensive travel and cancellation insurance before booking any Innergy program that requires travel. See Section 13 for details.
4. COVID-19 & Communicable Disease Provisions
All deposits and administrative fees are non-refundable regardless of COVID-related circumstances, including but not limited to: flight changes, cancellations, delays, illness, lockdowns, quarantines, border closures, travel requirements, or health documentation requirements.
Where required by the program location’s governing authorities, Participants may be asked to provide proof of a negative COVID-19 test taken within 72 hours of the program start date. Participants will not be permitted to join a program without satisfying any applicable health entry requirements.
Innergy shall not be held responsible or liable for any Participant who contracts COVID-19 or any communicable illness before, during, or after any Innergy program.
5. Refund Policy
Once a retreat, training, or program commences, no refunds will be issued under any circumstances.
All deposits and administrative fees are non-refundable. No refunds will be issued for any of the following:
- Adverse weather conditions or natural disasters
- Pandemics, public health emergencies, or government travel restrictions
- Acts of terrorism or civil unrest
- Flight delays, cancellations, or missed connections
- Non-compliance with immigration requirements
- Passport or visa issues
- Registration is below expected capacity
- Personal, family, or medical emergencies
- Change of mind or personal preference
Digital products and online programs are non-refundable once access has been granted.
6. Transfer Policy
Eligibility
Transfers of deposits and payments to a future Innergy program are available at the sole discretion of Innergy Global Enterprises, LLC and must be agreed upon in writing with the Lead Training Instructor or designated representative.
Conditions
Transfer requests must be submitted in writing no later than 30 days before the original program start date. All requests are subject to availability and approval.
Fees
An administrative fee of $50 USD applies to all approved transfers. This fee is non-refundable.
Limitations
Transfers are limited to one (1) per Participant per booking. No further transfers will be permitted once a transfer has been processed. The transferred booking retains all original cancellation and refund terms.
7. Instructor Cancellation & Program Changes Policy
Innergy reserves the right to cancel, postpone, reschedule, relocate, or modify any Program at its sole discretion if circumstances arise that make delivery of the Program impracticable, unsafe, impossible, or inadvisable. Such circumstances include, but are not limited to, instructor illness or injury, family emergency, force majeure events, government restrictions, natural disasters, venue issues, travel disruptions, political instability, or any other circumstance beyond Innergy’s reasonable control.
If a Program is cancelled by Innergy before it begins, Participants may choose one of the following remedies:
- Transfer all monies paid toward the next available comparable Program or another Innergy program of equal value, as determined by Innergy; or
- Receive a refund of all tuition fees paid to Innergy, less any non-recoverable third-party transaction or payment processing fees (including, but not limited to, Stripe, PayPal, bank transfer, or currency conversion fees) within ten (10) business days of written confirmation of the cancellation.
Innergy reserves the right to substitute instructors, modify the Program schedule, curriculum, venue, accommodations, or delivery format (including transitioning portions of the Program online) where reasonably necessary to ensure the successful completion of the Program. Such changes shall not constitute grounds for cancellation by the Participant or for any additional refund.
Innergy also reserves the right to cancel a Program if minimum enrollment requirements have not been met. Unless otherwise stated, a Program may be cancelled if enrollment remains below the required minimum up to sixty (60) days prior to the scheduled start date. In such cases, Participants may transfer to a future Program or receive a refund in accordance with this Section.
Except for the remedies expressly provided above, Innergy’s liability is strictly limited to the amount of tuition and program fees actually paid directly to Innergy. Innergy shall not be liable for any indirect, incidental, consequential, or additional expenses incurred by Participants, including but not limited to airfare, visas, passports, travel arrangements, accommodation booked independently, meals, transportation, loss of income, loss of business opportunity, exchange rate fluctuations, or any other travel-related or personal expenses.
Participants are solely responsible for obtaining comprehensive travel insurance, including coverage for trip cancellation, medical emergencies, travel interruption, and force majeure events. Innergy strongly recommends purchasing travel insurance before booking any non-refundable travel. Participants receive program welcome materials, including travel insurance guidance, at least thirty (30) days before the Program start date. Failure to obtain adequate insurance shall not create any liability for Innergy.
8. Health & Medical Disclaimer
Innergy Global Enterprises, LLC offers programs, retreats, trainings, and certifications that incorporate yoga, somatic movement, breathwork, cacao ceremonies, and wellness education (collectively, the “Offerings”). All Offerings are provided for educational and informational purposes only.
Nothing within the Offerings constitutes medical advice, diagnosis, or treatment. The Offerings are not a substitute for consultation with a licensed physician or qualified healthcare provider. Participation in any Innergy program, including cacao ceremonies, breathwork practices, and somatic movement sessions, involves a degree of physical and emotional engagement that may not be appropriate for everyone.
Before registering, you are responsible for consulting your physician or qualified healthcare provider, particularly if you:
- Are pregnant or postpartum
- Have a cardiovascular condition or history of heart disease
- Are currently taking pharmaceutical medications, including antidepressants or MAOIs
- Have a diagnosed psychiatric condition
- Have a history of seizures, fainting, or respiratory conditions
Ceremonial cacao contains theobromine, a naturally occurring stimulant. Participants with sensitivity to stimulants or relevant medical conditions must disclose contraindications to the Innergy facilitator prior to participation in any cacao ceremony.
By registering for any Innergy Offering, you confirm that you have assessed your own health and fitness for participation and accept full responsibility for any health decisions made in connection with your participation.
9. Photography & Video Consent
Innergy Global Enterprises, LLC photographs and films its retreats, trainings, and events for use in marketing, educational content, and promotional materials, including on our website and social media platforms.
By registering for any Innergy program or event, you consent to being photographed or filmed during that program. If you do not wish to be included, you must notify a member of the Innergy team in writing at the time of arrival, before the event begins. We will make reasonable efforts to honor your request, but we cannot guarantee exclusion from incidental group footage.
No compensation is owed to any Participant for the use of photographs or video content captured at Innergy events.
10. Intellectual Property
All content, curriculum, frameworks, methodologies, training materials, certifications, and programs offered by Innergy Global Enterprises, LLC are proprietary and protected under applicable intellectual property law. This includes, without limitation:
- Somatic Feminine Intelligence™ (SFI), the proprietary methodology developed by Chocolako Agburu, MPH, MBA
- The Womb Wisdom & Wellbeing Yoga Teacher Training curriculum and all associated program materials
- The Innergy Cacao Facilitator Training curriculum, ceremony frameworks, and certification content
- All written materials, workbooks, video content, audio recordings, digital resources, and course materials delivered through any Innergy program or platform
Upon completion of any Innergy certification or training program, graduates are authorized to facilitate practices informed by their training. They are not authorized to reproduce, teach, redistribute, or commercialize Innergy’s proprietary curriculum, frameworks, or branded methodologies in whole or in part without the prior written consent of Innergy Global Enterprises, LLC.
Any unauthorized use of Innergy’s intellectual property, including reproduction, adaptation, or commercial distribution of program materials, constitutes a breach of these Terms and may result in legal action.
The names Innergy by Chocolako®, Somatic Feminine Intelligence™, Morphing™, and all associated marks are the exclusive property of Innergy Global Enterprises, LLC. Unauthorized use is prohibited.
11. Code of Conduct & Removal Policy
Innergy is committed to maintaining a safe, respectful, and intentional environment at all events, retreats, and training programs. All Participants are expected to conduct themselves in a manner consistent with those values for the full duration of any Innergy program.
The following conduct is grounds for immediate removal:
- Verbal abuse, harassment, or threatening behavior directed at Participants, facilitators, or staff
- Conduct that disrupts the physical or emotional safety of the group
- Non-compliance with facilitator instructions during ceremony or somatic sessions
- Disrespect of the physical space, sacred materials, or other Participants’ personal boundaries
- Any behavior that Innergy, in its sole discretion, determines to be harmful to the group or the integrity of the program
Where a Participant is removed for a conduct violation, no refund will be issued regardless of the stage of the program at which removal occurs. Costs already incurred on behalf of that Participant, including accommodation and meals, are non-recoverable. Innergy’s determination regarding conduct violations is final and not subject to appeal.
12. Minimum Age & Eligibility
All Innergy programs, retreats, certifications, and events are designed for adults. Participants must be 18 years of age or older at the time of registration, unless an exception is expressly stated in the specific program description.
By registering, you confirm that you meet the minimum age requirement. Innergy reserves the right to request proof of age and to deny enrollment to any individual who does not satisfy this requirement. Registration fees paid by ineligible Participants will be refunded less any non-recoverable processing costs.
13. Travel & Health Insurance
Innergy strongly recommends that all Participants purchase comprehensive travel and health insurance before booking any program requiring travel. Insurance should cover, at minimum:
- Trip cancellation and interruption
- Medical treatment and emergency evacuation
- Personal injury or illness
- Loss or damage of personal belongings
- Force Majeure events and unforeseen circumstances
Travel insurance is not included in program pricing and remains the sole responsibility of the Participant. Innergy will not reimburse any travel-related losses regardless of the reason for cancellation or disruption.
14. Death of a Participant
Where a registered Participant passes away before or during an Innergy program, the following provisions apply.
Death Prior to the Program Start Date
A refund request must be submitted in writing by the Participant’s next of kin or legal representative, accompanied by an official death certificate.
- More than 45 days before the program start date: full refund of monies received, less a 10% administration fee.
- 45 days or fewer before the program start date: full refund of monies received, less a 30% administration fee.
Death After the Program Has Commenced
No refund will be issued once a program has begun, due to financial commitments already made on behalf of the Participant.
Emergency Contact Responsibility
All Participants are required to provide a valid emergency contact at the time of registration. In the event of a Participant’s death or medical emergency during an Innergy program, that emergency contact assumes full responsibility for coordinating the Participant’s affairs from the point Innergy notifies them. By registering, you confirm that your nominated emergency contact has been informed of, and has agreed to, this responsibility.
15. Disclaimers
Accommodations
In the case of residential retreats or trainings, room sizes and amenities may vary. All room types are priced according to single, double, or triple occupancy. Innergy will make reasonable efforts to accommodate specific room requests but cannot guarantee fulfillment. Room assignments are made on a first-come, first-served basis. Single guests booking a shared room will be paired with another unassigned guest unless otherwise specified during booking.
General
The total cost paid covers one space on the retreat or training, including workshops, facilitator fees, and specified transportation as outlined in the program description.
- Innergy is not responsible for lost, stolen, or missing items.
- Innergy is not responsible for airline cancellations, missed flights, or transportation issues prior to the program.
- All reservations and accommodation bookings are first-come, first-served.
- All flight reservations and accommodations are the sole responsibility of the Participant.
- A valid passport with at least 6 months before expiry is required for international programs.
- Full program balance must be paid at least 30 days before the start date via the Innergy booking system and Stripe payment processor. Cash payments on arrival are not accepted.
- Participants must sign and return the Liability Waiver and Program Contract prior to the program start date.
Third-Party Vendors
Innergy shall not be held responsible or liable for the acts, omissions, products, materials, or services of any third-party vendors providing catering, transportation, lodging, or other services during any program. Innergy has no control over third-party vendors and is not liable for any loss or damage arising from their goods or services.
16. Arbitration & Governing Law
Any claim, controversy, or dispute between the Participant and Innergy and/or any of its employees, agents, affiliates, or representatives shall be resolved by final and binding arbitration.
These Terms are governed by the laws of the State of Georgia, United States of America, without regard to conflicts of law provisions. The parties submit to the exclusive jurisdiction of Clayton County, Georgia, for any matter arising out of or relating to these Terms or any Innergy program. Disputes shall be settled by binding arbitration held before a neutral arbitrator in Clayton County, Georgia, under the auspices of the American Arbitration Association.
The arbitrator’s decision shall be final, conclusive, and binding on all parties.
17. Indemnification
The Participant agrees to indemnify and hold harmless Innergy Global Enterprises, LLC, its owner, officers, agents, and employees from any liability, suit, claim, attorneys’ fees, action, loss, expense, or damage of any kind arising out of the Participant’s use of any Innergy service, program, or event.
18. Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be deemed severable from the remaining Terms, which will continue in full force and effect. This Agreement may not be assigned by the Participant. Innergy reserves the right to assign this Agreement in connection with a merger, acquisition, or change of ownership, with notice provided to the Participant.
19. Waiver
A waiver by either party of any term or condition of these Terms in any instance will not be deemed a waiver of that term or condition in the future or of any subsequent breach.
20. Privacy Policy
Information Collection & Use
Innergy Global Enterprises, LLC collects personal information necessary to provide retreat and training services, process payments, and communicate with Participants. This may include name, contact information, payment details, health information, and travel documentation.
Third-Party Sharing
Innergy will not sell, rent, share, or distribute Participant personal or business data to third parties. All Participant information is used solely for the purpose of providing Innergy services.
Data Protection
Innergy maintains industry-standard security measures to protect Participant information from unauthorized access, disclosure, or misuse. All team members are bound by strict confidentiality policies.
Participant Rights
Participants may request access to their personal information, request corrections to inaccurate data, or request deletion of their information by contacting Innergy directly. Such requests will be processed in accordance with applicable law.
Legal Compliance
Participant information will only be shared where required by law, court order, or with the Participant’s explicit written consent for specific third-party services.
21. Entire Agreement
This Agreement constitutes the entire understanding between the parties, supersedes all prior agreements, and is the final expression of their agreement. It may not be modified except in writing signed by both parties.
By accepting these Terms, you confirm that you have read, understood, and fully agree to all terms and conditions set forth in this Agreement.
